Code of Conduct

 

What we expect from our people? Below are behaviour and principles that all personnel must adhere to

  • Obey the law. Law is there for a reason, and must be respected.

All employees must proceed in their business activities with knowledge and respect for any concerning law. In many cases, the law is pretty clear and obvious, and so there is no difficulty in following it. However, we recognize that some legal area may be not well known or clear: in this case, it is important to raise this issue with the management, which may contact the Legal department and ask for clarification. In no case you may conduct an activity potentially conducive to a law infringement base on ignorance of the law: apply the core value of honesty, fairness and integrity, and ask for help: FroggaBio is here to help.

 

  • Honesty. Pursue any act with goodness and honesty at heart, and communicate in good faith.

At the base of successful organization is the honesty of the people that are part of it. You want to be reliable in your tasks, and commit to them. Show integrity and professionalism, and always communicate in good faith. Importantly, always acknowledge your mistake: trust is built upon this.

 

  • Fairness. Treat all people you do business with being fair and avoiding any situations that may be perceived as biased.

Fairness extends to the relationships between people in a workplace. In fair workplaces, everybody treat anyone with the same standard of respect, regardless of demographic status or relationship to other members of the organization.

When interacting with your colleagues, consider how you would want to be treated if you were in the other person's position.

 

  • Loyalty. Froggabio interests and information are to be protected.

Working within our organization, you will daily come across several information that are of great interest to potential outsiders and competitors. Nevertheless, you are bound to protect each of this information from disclosure, as per our internal policies. In no case, except when explicitly authorized by the management, you are going to share information or act in a way to go counter to the interest of FroggaBio.

 

 

  • Respect. Apply the golden rule when dealing with any person. FroggaBio is an inclusive and diverse environment, and maintains a work environment that promotes respect for all employees and for the human rights of co-workers, partners, suppliers and customers.

At the heart of an enjoyable workplace, is the notion that every human being has the same right as anybody else, while also being unique. No person should feel demoralized, harassed, mistreated or treated unprofessionally.

A respectful workplace is a place where anyone is free to report about mistreatment or concerns without fear or retribution. Our Safety and Harassment policy has the specific procedure to be applied in case of violation of policy against unlawful discrimination, harassment, sexual harassment and violence.

 

  • Do not misrepresent yourself or FroggaBio to anyone.

Together with honesty and fairness, it is important that you do not use false information in order to achieve a goal. Inducing someone to enter into a contract with false claims is called misrepresentation. Misrepresenting your role, your product, your company by using non true methods or words is not acceptable and goes against FroggaBio Core of Conduct.

For example: telling someone an item is “just like new” when it's really several years old and worn from use.

 

  • Report. Report any conduct that you may perceive as potentially breaking our Value and Expectations.

Should you come across a conduct potentially unethical, unlawful, unsafe or simply at odds with FroggaBio standards, we understand that it is an unpleasant event. However, it is absolutely needed that you report it to the Ethical Commission and to your manager, so that immediate action can be taken. You do not need to fear any retribution or threat: request a meeting with the appropriate manager, and your anonymity will be guaranteed.

 

 

  • Confidentiality. Comply with NDA, and use company, customer, supplier or employee confidential information only for its intended business purpose. If you happen to receive information that is not marked confidential, but you deem confidential, alert the person that gave it to you and make sure the information is properly classified and protected. Refuse confidential information you are not authorized to receive.

For Example: a colleague in Payroll mistakenly emails you a file containing employee personal information. You are not authorized to see, so you must erase the email immediately and communicate to the Payroll colleague the error.

 

  • Accurate Report. Provide information accurately and honestly in your business reports and records. Do not mislead by providing inaccurate information.

FroggaBio, like most organization, optimizes the operations by periodically checking reports from any aspect of the business. Management, in order to be able to make the right choices, needs to analyze the reported data that reflect the reality. Sending a report with falsified data not only break the Core of Conduct, but also damage the organization by triggering wrong choices and consequentially jeopardize the well being of all employees.

 

 

  • Copyright. Obtain permission from the copyright holder before making copies of material generated and found outside of FroggaBio. Same thing is applicable with software licenses.

Most of information found on the internet is copyrighted. This means that if you want to use it for business purposes, you need to contact the author and ask for permission. While there is Free of Copyright material on the web, you must always act as if every single image, video, text and software on internet is copyrighted.

 

 

  • Gift/Expenses. Provide or accept business gifts, entertainment, meals, or travel are considered

 “Exchanging business courtesies”: with customers, partners, government officials, and/or health care professionals (HCPs), employees must ensure they offer, give, and receive gifts, provide meals or entertainment, and pay for travel only if it is of reasonable value, complies with the recipients' own laws and corporate regulations, is not given with any corrupt intent to improperly influence the recipient's actions or decisions, and is infrequent. They must be recorded in FroggaBio books as per law.

In a business relation with suppliers, customers and colleague, from time to time it may happen to receive or offer some food, drink, entertainment ticket, gift and so on. If these are of small value, infrequent and are given/received without intent to bribe or corrupt the receiver, it is fine to proceed upon previous authorization from the manager.

 

  • Refrain from Political Activity. You must not engage in political activities of any kind using company time and/or company resources. FroggaBio will not ask any employee to make

any political contribution or participate in the support of a political party, the political candidacy of any individual, or a political cause.

 

Politics is considered a private and potentially divisive issue, and it is discouraged to discuss it at any level on FroggaBio time and premises. Outside of FroggaBio time and resources, any employee is free to adhere to any political party and engage in political activity. However, if a specific political activity goes against FroggaBio’ s interest, you must abstain from it to avoid a conflict of interest (even if just perceived), and must notify your manager. In any case, any political activity must be pursued without giving the appearance of acting on FroggaBio’ s behalf.

 

  • Beware of Antitrust. FroggaBio is committed to conducting its business activities in full compliance with national and international antitrust and competition laws. If a competitor or other third party tries to initiate improper discussions or provide you with any documents regarding these topics, disengage from the discussion immediately and contact your supervisor or manager.

Casual conversation with competitors may be viewed as an attempt to signal specific business strategies, so you must be careful to avoid conversation that may lead to allegations of anti-competitive activity. Any proposed discussion with competitors must be vetted by legal counsel beforehand.

Do not propose an agreement with a competitors regarding any aspect of the competition, including (but not limited to) price, terms of sale, product allocation, customer allocation, territory allocation, production capacity, market condition, cost and profit.

Be aware that Antitrust violations expose the company and any participating employee to civil lawsuits or criminal prosecution, including fines and imprisonment.

 

  • Anti-Corruption. FroggaBio is contrary to corruption in any form. It is prohibited to bribe and make facilitating payments (i.e., payments to secure performance of routine government actions). Report any observed behaviour that may potentially violate any anti-corruption law to your supervisor, which is expected to discuss it to the Legal Department.

In Canada anti-corruption and bribery are enforced mainly under two federal statutes:

Corruption of Foreign Public Officials Act (“CFPOA”), which regulate foreign bribery, makes it an offence to:

  1. directly or indirectly give, offer or agree to give or offer any form of advantage or benefit to a foreign public official to obtain an advantage in the course of business; or
  2. engage in certain accounting practices where those practices are employed for the purpose of bribing a foreign public official or concealing a bribe.

The Criminal Code governs domestic bribery and corruption, and prohibits various forms of corruption including bribery of various officials, frauds on the government, breach of trust by a public officer and secret commissions, corrupt accounting and record-keeping practices.

 

  • Conflict of Interest. You may take part in legitimate financial, business, charitable and other activities outside your FroggaBio jobs, but any real, potential, or perceived conflict of interest raised by those activities must be promptly disclosed to management and updated on a periodic basis. This principle is extended to anyone acting on behalf of FroggaBio.

FroggaBio employees must disclose any outside activities, financial interest, or relationship that may pose a real, potential or perceived conflict of interest. Disclosures may be to a supervisor, manager, or Ethical Board Member and will vary according to the role of the employee making

the disclosure. You need to obtain management approval before accepting any position as an officer or director of an outside business.

 

 

  • Sales and Marketing Integrity. Our marketing material and our sales representative are our main face to the world. As such, they must represent our brand and products fairly and accurately.

Any claim regarding our products and services must be appropriately substantiated and approved.

In addition, we only gather information about our competitors using legal means, without using misrepresentation and other unfair methods.

 

  • FroggaBio Assets. Employees must at all time be aware that FroggaBio resources (time, personnel, laptops, phones and so on) are for business use. However, FroggaBio recognizes that sometimes occasional and reasonable personal use of the company resources may happen without negative impact on FroggaBio. You must use good faith and judgement in using FroggaBio assets.

 

  • Email Use. FroggaBio emails are property of the organization, and may be accessed from any authorized employee at any time. You must keep your personal email separate from the work one, and delete any personal email you may not want to disclose. Furthermore, any communication sent through FroggaBio email must be courteous and businesslike.

FroggaBio understands that sometime personal communication may happen on business email, but you must be aware that you need to erase it and send it to your private email, to avoid potential disclosure.

 

  • Workplace. FroggaBio does all possible to provide a safe, healthy and supportive work environment. Any behaviour that contrasts with the above, such as harassment, violence, drug or weapon possession, will not be tolerated. It is responsibility of each employee to adhere to FroggaBio Safety Policies, and to report any infringement.

FroggaBio has a stringent Workplace Safety Policy, which is part of separate training of every employee, and it is periodically reviewed and updated.

  • Public Service. You can participate in civic life. However, if a specific civic activity goes against FroggaBio’s interest, you must abstain from it to avoid a conflict of interest (even if just perceived), and must notify your manager. In any case, any civic activity must be pursued without giving the appearance of acting on FroggaBio’s behalf, unless you have been authorized from your Manager or the Ethical Board.

 

 

 

Administration of Ethical Compliance

The Ethical Board is responsible for the compliance of the Code of Conduct. Every manager is responsible to oversee the compliance in his/her department, and to bring any infringement to the attention of the Ethical Board.

 

Ethical Board

The Board is composed of 3 officers and upper managers, chosen on voluntary offer, which periodically meet to discuss:

  • Change in policies
  • Amendments
  • Change in business that may have repercussion on the Code of Conduct
  • Integration with other policies

Furthermore, the Board meets anytime a compliance infringement needs to be discussed and has the final say in any compliance resolution.
